The Graine Ledger × Sobremesa
Integrated Brewing Roadmap (2025 – 2028) Prepared for executive sign‑off – June 2025
1. Purpose & Vision
Purpose
Transform Sobremesa Restaurant, Brewery & Banquet Center into the operational headquarters of The Graine Ledger (TGL), adding a beer utility to barrel‑token holders and showcasing Industrial‑Automation‑as‑a‑Service (I3AS) in a live hospitality environment.
Vision
By 2028, operate a sensor‑rich, largely self‑running 30‑50 bbl brewery whose production data immutably updates on Base L2, with revenue and product benefits delivered to token holders through a Centralized Autonomous Organization (CAO) framework.
2. Strategic Objectives & KPIs
3. Governance Model – CAO (Centralized Autonomous Organization)
Authority
Board‑approved management retains final decision rights; smart contracts automate pre‑defined actions only.
Smart-Contract Layer
  • TGL‑Barrel Token (2023) – unchanged.
  • TGL‑Brew Add‑On NFT (2025) – gated mint for existing tokens; combo tokens for new sales.
  • Redemption Contract – burns or decrements beer allotments, writes redemption hash to Base.
Automation Scope
  • Token minting/transfer
  • Allotment decrement & on‑premise POS reconciliation
  • Crowler & shipment claim verification
  • Revenue splits (Phase 3)
Human Oversight
  • Managing Director countersigns cap‑ex > $100K
  • Financial Controller batch‑reconciles on‑chain vs. QuickBooks monthly
  • Legal/Compliance signs off before any contract upgrade

Annual Allotment
12×16 oz pours or 12×32 oz crowlers (redeem on‑premise or ship where legal).
Transferability
Fully transferable; remaining allotment travels with NFT.
Secondary Fees
2.5% to TGL treasury; 1% to artist; enforced at contract level, payable in ETH (Base).
Expiration
Allotment resets every 365 days; unredeemed balance burns.
Future Income Share (Phase 3)
